PART A: CORPORATE GOVERNANCE GUIDELINES

Winelval Group Limited is committed to the highest standards of corporate governance, ethical business conduct, and environmental and social responsibility across all its operating companies.

1. GOVERNANCE PHILOSOPHY

We believe that sound corporate governance builds trust with our clients, employees, regulators, and the public. Our governance framework is built on the principles of accountability, transparency, integrity, fairness to all stakeholders, and independent oversight.

2. GOVERNANCE STRUCTURE

Winelval Group is governed by a Board of Directors responsible for the overall strategic direction, risk oversight, and performance of the Group.

Each operating company maintains its own management team responsible for day-to-day operations, reporting to the Group Board through defined governance and reporting lines.

The Board is supported by committees responsible for Audit and Risk, Compliance, and Human Resources/Remuneration, each operating under a defined charter and reporting periodically to the full Board.

3. CODE OF BUSINESS CONDUCT AND ETHICS

All directors, employees, and agents of Winelval Group are required to act with honesty, integrity, and professionalism in all dealings with clients, colleagues, regulators, and the public.

We maintain a zero-tolerance policy towards bribery and corruption, in compliance with the Corrupt Practices and Other Related Offences Act and the Economic and Financial Crimes Commission (Establishment) Act.

Directors and employees are required to declare, and appropriately manage, any actual or potential conflict of interest arising in the course of their duties, including in respect of client engagements, related-party transactions, or personal investments.

4. REGULATORY COMPLIANCE

We are committed to full compliance with all applicable laws and regulations governing our operations, including the Companies and Allied Matters Act 2020, the Nigeria Data Protection Act 2023, the Money Laundering (Prevention and Prohibition) Act 2022, the Rules of Professional Conduct for Legal Practitioners, and applicable rules governing property and investment advisory services.

5. RISK MANAGEMENT

Winelval Group maintains a risk management framework designed to identify, assess, and mitigate operational, financial, legal, reputational, cybersecurity, and data protection risks across the Group. Risk oversight rests with the Board's Audit and Risk Committee, supported by management-level risk owners in each operating company.

6. WHISTLEBLOWING AND GRIEVANCE MECHANISM

We maintain a confidential whistleblowing channel through which employees, clients, and third parties may report suspected misconduct, unethical behaviour, or breaches of this Policy, without fear of retaliation.

Reports may be submitted to [whistleblowing email/hotline], and shall be investigated promptly, confidentially, and impartially.
